German Real Estate Security Token Offering Issued on the Black Manta Investment Platform

Luxembourg: Tigris Immobilien GmbH is a long-time successful real estate developer in the Berlin market. For the first time, this STO, powered by Tokeny’s technology, offers the opportunity for investors to participate in a profitable real estate project normally reserved for professional investors.

The project has a usable area of around 2,000 metres squared and consists of approximately half of an old building that is already in good condition and is complemented by a new, architecturally modern front building. The overall completion is planned for 2022. The individual residential units will be sold to owner-occupiers and investors.

The structuring of the offering was supported by lawyer Oliver Stauber from the Vienna law firm Stadler Völkel, and Helmut Beer, partner of TPA Steuerberatungs GmbH tax advisory. The BaFin licensing procedure for the public offering in Germany required the securities information sheet (“Wertpapier-Informationsblatt”), supported by the lawyer Lutz Auffenberg, LL.M. from the Frankfurt law firm FIN LAW. The information sheet was checked (in accordance with “AltFG”) by the Viennese consulting and investment company Venionaire Capital.

Further STOs will be made on the Black Manta Platform throughout 2020; these offerings will not be limited to real estate. A number of other STOs from startups, SMEs and funds are currently being planned.

As a technically interested real estate developer, I immediately recognized the potential of tokenization. For both sides - property developers as well as investors - completely new possibilities of financing and investing open up. The tokenization of a real estate project has the particular advantage that investors can benefit from the increase in value and the substance of the property even with small sums.

N.B: Black Manta Capital Partners (BMCP GmbH, Berlin) has launched the first Security Token Offering (STO) on the Black Manta Investment Platform in conjunction with Tokeny Solutions. Private and institutional investors from Germany and Austria can invest starting from EUR 500 in a premium located Berlin residential property. 

The Berlin property project S17A by Tigris Immobilien GmbH has a total value of just under EUR 11 million, of which EUR 1,999,500 is tokenized. Investors share 20% of the profit through securitized participation rights. 

The subscription period will run from April 14, 2020 to May 31, 2020.
